1.Acceptance of Terms

By performing any of the following actions, you confirm that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and any other policy referenced herein:

• Browsing or visiting any page on the Platform
• Creating a Customer, Vendor/Partner, or any other type of account
• Submitting an enquiry, booking, or quote request
• Purchasing Credits, a Subscription Plan, or an Advertisement
• Logging into the Admin, Partner, or Customer Dashboard
• Uploading content, images, reviews, or messages to the Platform

These Terms constitute a legally binding agreement between you and Linker360. If you are using the Platform on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

3.Eligibility

• You must be at least 18 years of age and possess the legal capacity to enter into a binding contract under the Indian Contract Act, 1872.
• You must provide accurate, current, and complete information during registration and keep it updated.
• Each individual or business is permitted to maintain only one active account, unless otherwise authorised in writing by Linker360.
• Vendors must be legally registered businesses or individuals authorised to offer the services they list, and must hold any applicable trade licences, GST registration, or other statutory approvals required to operate in their respective domain.

4.User Registration

Account creation may require email/mobile verification via OTP. You are solely responsible for:

• Maintaining the confidentiality of your login credentials and password
• All activities that occur under your account
• Promptly notifying Linker360 of any unauthorised access or suspected breach

Linker360 reserves the right to suspend or terminate accounts found to involve fake identities, duplicate registrations, impersonation, or any misrepresentation of identity or credentials.

5.Vendor Registration

By registering as a Vendor/Partner, you represent and warrant that:

• All documents, certificates, and licences submitted are genuine and currently valid
• Your business is legally operating and compliant with applicable local, state, and central laws
• You hold valid GST registration where applicable by law
• You are solely responsible for the quality, safety, legality, and timely delivery of the services or products you offer
• Pricing, availability, and service descriptions listed on your profile are accurate and kept up to date

6.Nature of the Marketplace

Vendors are independent businesses, not employees, agents, partners, or representatives of Linker360. Linker360 does not control, supervise, or direct the manner in which Vendors perform their services, and is not a party to any contract formed between a Customer and a Vendor.

7.Vendor Verification

Linker360 may display a "Verified" badge on certain Vendor profiles upon review of submitted documents. This badge indicates only that the relevant documents were reviewed at a point in time and does not constitute a guarantee, endorsement, or warranty of:

• The quality or standard of services provided
• The Vendor's experience, reliability, or professionalism
• Customer satisfaction or outcome of any booking

Customers are encouraged to conduct their own due diligence, including reviewing past work, ratings, and references, before engaging any Vendor.

8.Booking Terms

• Booking Confirmation: A booking is considered confirmed only when acknowledged by the Vendor and, where applicable, an advance payment is received.
• Cancellation & Rescheduling: Subject to the individual Vendor's cancellation policy, as displayed on their listing or agreed separately. Linker360 is not responsible for losses arising from cancellations or rescheduling between Customers and Vendors.
• Vendor Availability: Listed availability is indicative and subject to change; Vendors are responsible for keeping their calendars updated.
• Travel & Extra Charges: Travel charges, overtime, additional guest counts, or out-of-scope requests may attract extra charges as communicated by the Vendor.
• Taxes: Applicable GST and other statutory taxes will be charged in addition to the quoted price unless stated as tax-inclusive.
• Force Majeure: Neither party shall be liable for failure to perform due to events beyond reasonable control (see Section 29).
• Advance & Balance Payment: Payment schedules are determined by individual Vendors and communicated at the time of booking.

9.Pricing Policy

Prices displayed on the Platform may or may not include the following, as indicated on the relevant listing:

• GST and other applicable taxes
• Platform fees, convenience fees, or processing charges
• Vendor service charges and travel charges
• Decoration, equipment, or staffing charges
• Night charges or peak/wedding-season surcharges

Customers should always confirm the final, all-inclusive price directly with the Vendor before confirming a booking.

10.Credits System

• Credits are a digital unit used to unlock leads, contacts, or premium features on the Platform.
• Credits have no cash value and are non-transferable between accounts.
• Credits, including promotional or bonus credits, may expire after a period determined by Linker360 and displayed at the time of purchase or grant.
• Linker360 reserves the right to modify the credit structure, pricing, or usage rules at any time.
• Credits, once purchased, are non-refundable except as required by applicable law.
• Linker360 actively monitors for misuse of the Credits system, including fraudulent lead generation, and reserves the right to revoke credits or suspend accounts involved in such activity.

11.Subscription Plans

Linker360 may offer tiered Vendor subscription plans (e.g. Basic, Premium, Gold, Platinum, Enterprise) providing enhanced visibility, leads, or features.

• Plans may auto-renew or require manual renewal, as selected at purchase.
• Upgrades, downgrades, and cancellations are subject to the terms displayed at the time of the transaction.
• Plan benefits, pricing, and features may change from time to time at Linker360's discretion, with reasonable notice provided where feasible.
• Unused subscription periods are non-refundable except as required by law or as expressly stated in the Refund Policy.

12.Payments

Payments on the Platform may be made via UPI, debit/credit cards, net banking, digital wallets, or other methods supported by our payment gateway partners.

• All transactions are processed through secure, PCI-DSS compliant third-party payment gateways.
• Applicable taxes will be reflected in the invoice generated for each transaction.
• In the event of a failed or duplicate payment, please contact support with the transaction reference for resolution.
• Refund timelines, where applicable, are governed by our Refund Policy and the processing timelines of the respective payment gateway/bank.
• Chargebacks initiated without valid cause may result in account suspension and recovery of associated costs.

13.Refund Policy

All refunds are governed strictly by our separate Refund Policy, available on the Platform. In summary:

Platform fees, processing fees, and payment gateway fees are non-refundable in all cases. Any decision on a refund request is at the sole and final discretion of Linker360's Admin team, except where applicable law provides otherwise.

14.Vendor Obligations

Vendors must:

• Provide accurate business information, pricing, images, and availability
• Respond to customer enquiries within a reasonable and professional timeframe
• Conduct themselves professionally in all interactions with Customers
• Deliver contracted services in a timely and satisfactory manner
• Comply with all applicable laws, including consumer protection and tax regulations

15.Customer Obligations

Customers shall not:

• Submit fake, spam, or bad-faith bookings or enquiries
• Abuse, harass, or threaten Vendors or Platform staff
• Post fake or manipulated reviews
• Engage in payment fraud or unauthorised chargebacks
• Raise false or malicious complaints against Vendors

16.Reviews & Ratings

• Reviews may only be submitted by users with a genuine, verifiable booking or interaction history with the relevant Vendor.
• Fake, incentivised, defamatory, or manipulated reviews are strictly prohibited.
• Linker360 reserves the right to edit, hide, or remove any review that violates these Terms or applicable law, at its sole discretion.
• Reviews reflect the personal opinion of the reviewer and do not represent the views of Linker360.

17.Messaging System

By using the in-platform messaging system, users agree that:

• Messages may be monitored, scanned, or reviewed for spam, abuse, or policy violations
• Messages containing illegal, harassing, or unauthorised promotional content will be removed
• The messaging system must not be used to harass, threaten, or send unsolicited advertising to other users

18.Advertisements

• Advertisers are solely responsible for the accuracy and legality of their advertisement content.
• Linker360 is not liable for the content, claims, or outcomes of any third-party advertisement displayed on the Platform.
• Linker360 reserves the right to reject, modify, or remove any advertisement, at any time, that is illegal, offensive, misleading, or in violation of these Terms.

19.Intellectual Property

All intellectual property on the Platform — including the Linker360 name, logo, design, source code, icons, graphics, videos, SEO content, blog articles, images, databases, software, and APIs — is owned by or licensed to Linker360 and is protected under applicable intellectual property laws. No part of the Platform may be copied, reproduced, distributed, or reverse-engineered without prior written consent from Linker360.

20.User Generated Content

By uploading photos, logos, videos, reviews, testimonials, or any other content to the Platform, Customers and Vendors grant Linker360 a non-exclusive, royalty-free, worldwide licence to host, display, reproduce, and promote such content on the Platform and in associated marketing materials, for as long as the content remains on the Platform or as otherwise required for legitimate business purposes.

21.Prohibited Activities

The following activities are strictly prohibited on the Platform:

• Spamming, automated bot activity, or unauthorised scraping of Platform data
• Reverse engineering, decompiling, or attempting to extract source code
• Submitting fake enquiries, fake vendors, or fake customer accounts
• Identity theft or impersonation of any person or business
• Uploading malware, viruses, or malicious scripts
• SQL injection, cross-site scripting (XSS), or any attempt to compromise Platform security
• Unauthorised data mining or bulk data extraction
• Password attacks, brute-force login attempts, or credential stuffing

Violation of this section may result in immediate account suspension, legal action, and reporting to relevant law enforcement authorities.

22.Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data, including information related to cookies, analytics, and marketing communications. Please review the Privacy Policy carefully.

23.Data Protection

Linker360 implements reasonable technical and organisational measures for the storage, encryption, backup, retention, and deletion of user data, in line with applicable data protection laws in India. Data is retained only for as long as necessary to fulfil the purposes outlined in our Privacy Policy or as required by law.

24.Security

Linker360 employs security measures including OTP-based verification, two-factor authentication (where enabled), continuous monitoring, fraud detection systems, and IP-based blocking of suspicious activity. Despite these measures, no system can guarantee absolute security, and users are encouraged to follow good security practices, including using strong passwords and not sharing login credentials.

25.Suspension

Linker360 reserves the right to suspend any account, with or without prior notice, where there is reasonable suspicion of:

• Fraudulent activity
• Abuse of other users or the Platform
• Submission of false or misleading information
• Repeated chargebacks or payment disputes
• Spam or automated activity
• Any other violation of these Terms or applicable policies

26.Termination

Either party may terminate the account relationship at any time, subject to settlement of any outstanding obligations. Upon termination, certain account data may be retained as required for legal, accounting, or regulatory purposes. Obligations that by their nature should survive termination (including indemnification and limitation of liability) will continue to apply.

27.Limitation of Liability

To the maximum extent permitted by applicable law, Linker360 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, loss of data, vendor misconduct, payment gateway failures, server downtime, third-party API failures, or events of force majeure.

28.Indemnification

You agree to indemnify, defend, and hold harmless Linker360, its directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Platform, your breach of these Terms, or your violation of any applicable law or third-party rights.

29.Force Majeure

Linker360 shall not be held liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to floods, earthquakes, pandemics, government restrictions or lockdowns, war, civil unrest, internet or telecom outages, power failures, or cyber-attacks.

30.Third-Party Services

The Platform integrates with various third-party services, including but not limited to Google Maps, payment gateways, SMS and WhatsApp providers, email service providers, analytics tools, cloud hosting providers, and CAPTCHA services. Linker360 is not responsible for the performance, availability, or data practices of these third-party services, which are governed by their own respective terms and privacy policies.

31.Changes to Platform

Linker360 reserves the right to modify, add, or remove features, pricing, credits, subscription plans, user interface elements, or APIs at any time, with or without prior notice, in order to improve the Platform or comply with legal requirements.

32.Electronic Communications & Electronic Consent

By using the Platform, you consent to receive communications from Linker360 electronically, including via email, SMS, WhatsApp, and in-app notifications. You agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communication be in writing.

33.KYC and Vendor Identity Verification

Vendors may be required to complete Know Your Customer (KYC) verification, including submission of identity proof, business registration documents, GST certificates, and bank account details, to access certain Platform features such as payouts, premium listings, or verified badges. Linker360 reserves the right to request additional documentation at any time and to suspend accounts pending satisfactory verification.

34.Anti-Fraud, AML, and Payment Abuse Policy

Linker360 maintains systems to detect and prevent fraudulent transactions, money laundering, and payment abuse. Accounts suspected of engaging in fraudulent payment activity, fake bookings designed to manipulate credits or rankings, or any other form of payment abuse may be suspended pending investigation, and relevant transactions may be reversed or withheld.

35.Intellectual Property Infringement Notice Procedure

If you believe that content on the Platform infringes your intellectual property rights, please submit a written notice to legal@linker360.com including: (a) identification of the copyrighted/trademarked work, (b) identification of the allegedly infringing material and its location on the Platform, (c) your contact details, and (d) a statement of good-faith belief that the use is unauthorised. Linker360 will review and may remove or disable access to the disputed content pending investigation.

36.AI-Generated Content Disclaimer

Where the Platform offers AI-assisted features (such as AI-generated descriptions, recommendations, or chat assistance), such content is provided for informational and convenience purposes only. Linker360 does not guarantee the accuracy, completeness, or suitability of AI-generated content, and users should independently verify any material information before relying on it.

37.Service Availability and Scheduled Maintenance

Linker360 strives to maintain high Platform availability but does not guarantee uninterrupted, error-free, or continuous access. The Platform may be temporarily unavailable due to scheduled maintenance, upgrades, or unforeseen technical issues. Reasonable advance notice will be provided for planned maintenance where feasible.

38.Beta Features Disclaimer

From time to time, Linker360 may release experimental or "beta" features for testing purposes. Such features are provided "as is" without warranty of any kind, may be modified or withdrawn at any time without notice, and may contain bugs or limitations.

39.Promotional Offers, Coupons, and Referral Program Terms

Promotional offers, coupon codes, and referral incentives are subject to specific terms communicated at the time of the offer, including eligibility criteria, validity periods, and usage limits. Linker360 reserves the right to modify, suspend, or discontinue any promotional program at its discretion and to revoke benefits obtained through fraudulent or abusive use of such programs.

40.Taxes (GST/TDS) Responsibilities

Vendors and Advertisers are solely responsible for determining and fulfilling their own tax obligations, including GST registration, collection, and remittance, and any applicable TDS compliance, in connection with transactions conducted through the Platform. Linker360 does not act as a tax advisor and recommends consulting a qualified professional for tax-related guidance.

41.Lead Distribution Policy

Customer enquiries ("leads") may be distributed to one or more relevant Vendors based on category, location, and other matching criteria determined by Linker360. Linker360 does not guarantee lead exclusivity, lead quality, or conversion of any lead into a confirmed booking, unless explicitly stated under a specific paid plan.

42.No Circumvention Policy

Vendors and Customers agree not to use information obtained through the Platform to deliberately bypass the Platform in order to avoid applicable fees, commissions, or charges, where such fees are disclosed and applicable to a transaction facilitated by Linker360.

43.Record Retention and Audit Rights

Linker360 may retain transaction records, communication logs, and account activity data for as long as necessary for legal, regulatory, audit, or dispute-resolution purposes, and reserves the right to audit Vendor and Customer activity on the Platform to ensure compliance with these Terms.

44.Accessibility Statement

Linker360 is committed to making the Platform usable by as wide an audience as possible and welcomes feedback on accessibility issues. Please contact support@linker360.com to report any accessibility barriers you encounter.

45.Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved amicably through good-faith negotiation, and failing that, shall be subject to the exclusive jurisdiction of the courts located in the city where Linker360's parent company is registered.

Language and Interpretation: These Terms are drafted in English. In the event of any conflict between a translated version and the English version, the English version shall prevail.

46.Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

47.Entire Agreement and Survival

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Linker360 and supersede all prior agreements or understandings, whether written or oral. Provisions which by their nature are intended to survive termination of your account (including but not limited to Sections 19, 20, 27, 28, and 45) shall continue to apply after such termination.

48.Notice Procedure for Policy Changes

Linker360 reserves the right to update these Terms at any time. Material changes will be communicated via email, in-app notification, or a notice on the Platform, with the "Last Updated" date revised accordingly. Continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
